These Terms & Conditions ("Terms") govern your access to and use of Metrics and Motion’s website, services, and deliverables (“Services”). By using our site or engaging our services, you agree to these Terms in full.

1. Scope of Services

Metrics and Motion provides a modular set of services including:

Free diagnostics (Health Check)

Paid audits (Comprehensive Measurement Audit™)

Implementation builds (Measurement System Build)

Growth advisory or execution (Measurement-First Growth)

We deliver reliable fixes efficiently, but results ultimately depend on your marketing context and data foundation. Each service is scoped independently; there is no obligation to proceed beyond any given step.

2. Access and Client Responsibility

You agree to:

Provide temporary, read-only access to required platforms (e.g., GA4, GTM)

Grant editor access only when explicitly required

Remove all access post-delivery — we will remind you, but the responsibility is yours

We do not make changes to your systems without approval. Any actions requiring edit-level permissions will be communicated and documented clearly.

3. Deliverables and Ownership

Upon full payment, all delivered reports, dashboards, documentation, and implementation assets become your property. We retain no rights over your materials after handover.

We may retain anonymized learnings to improve our internal processes — never client-identifiable or proprietary data.

4. Payment Terms

Invoices are partially prepaid, with the remaining balance due upon delivery

Final deliverables are shared only after full payment

Late payments may result in project pauses or access revocation

5. Refund Policy

The Comprehensive Audit comes with a 100% refund guarantee if we do not identify meaningful opportunities for improvement

Other services are non-refundable unless explicitly agreed upon in writing and tied to scoped deliverables

Refunds are processed within 10 business days via original payment method.

6. No Guarantee of Results

We work with precision, but business outcomes depend on variables beyond our control — such as your ad spend, platform configuration, or team execution.

We do not guarantee:

Increases in revenue or ROI

Campaign performance

Platform stability or changes (e.g., Google Analytics updates)

What we guarantee is a reliable, technically sound measurement foundation — if we don't deliver that, you don’t pay.

7. Limitation of Liability

To the fullest extent allowed by law:

Metrics and Motion is not liable for any indirect, incidental, special, or consequential damages

Our total liability under any engagement will not exceed the amount paid for that specific service

This includes damages from lost revenue, inaccurate reporting, or third-party service changes.

8. Termination

We reserve the right to suspend or terminate any engagement if:

You breach these Terms

You misuse access or tools provided

Payments are unreasonably delayed

You engage in behavior that is abusive, unethical, or fraudulent

You may also terminate the engagement at any time in writing. In such cases, services rendered up to the termination point will be billed pro-rata.

9. Assignment

You may not assign, transfer, or sublicense any part of this agreement without our prior written consent. We may assign this agreement to an affiliate or successor if needed, with notice.

10. Entire Agreement

These Terms (along with our Privacy Policy) represent the entire agreement between you and Metrics and Motion, superseding all prior discussions, proposals, or understandings — whether oral or written.

No waiver or modification is valid unless explicitly agreed to in writing.

11. Dispute Resolution

If a dispute arises:

Both parties agree to attempt resolution through good-faith email communication

If unresolved, we will proceed to mediation under UAE law

Legal jurisdiction is United Arab Emirates, and any disputes shall be handled exclusively within UAE courts.
